Belize: Administrative Restoration of Companies — 2025 Changes
Belize has adopted the Belize Companies (Amendment) Act, 2025, which introduces a new mechanism for the administrative restoration of companies through the registrar.
Essence of the change
Section 222A (Registrar restoration) has been added to the legislation.
The registrar may restore a company administratively within 30 days of receiving an application.
Conditions for restoration:
- payment of the restoration fee;
- payment of all outstanding fees and penalties.
Who can file an application:
- a former member;
- a creditor;
- a liquidator/official receiver;
- the Attorney General.
Time limits
An application for restoration may be filed within 10 years from the date of:
- dissolution, or
- deemed dissolution.
Practical significance
- A simplified and quick way to restore a company without legal proceedings.
- Reduced costs and time required to return the company to active status.
- This mechanism is particularly relevant for structures liquidated for formal reasons (non-compliance, fees).
