Costa Rica: mandatory official e-mail for corporate notifications
Costa Rica has introduced a new mandatory requirement for sociedades mercantiles — registration of an official e-mail address for receiving legal notifications.
Essence of the change
- From June 2025, companies are required to specify an official e-mail address for corporate notifications.
- From June 2026, the Registro Nacional:
- will stop registering documents if the requirement is not met;
- effectively introduce email as a mandatory element of the corporate profile.
Practical effect
- A new mandatory requirement for companies is added.
- The official email address becomes a control point for any registration actions:
- change of director;
- statutory changes;
- other corporate filings.
- The absence of an email address may block corporate actions.
