Costa Rica: registration of companies without a name from May 2025
Since May 2025, Costa Rica has introduced a new approach to registering Sociedad Anónima (S.A.) and Sociedad de Responsabilidad Limitada (S.R.L.) companies without specifying their name (razón social).
Essence of the change
- New S.A. and S.R.L. companies are not required to register a company name.
- Identification is carried out using the cédula jurídica assigned by the Registro Nacional.
- The name is no longer a mandatory identifier of a legal entity.
Practical effect
- The risk of registration refusals due to occupied or similar names is reduced.
- Incorporation is simplified and accelerated.
- Templates need to be updated:
- corporate documents and contracts;
- compliance artefacts, including bank KYC packages.
